1Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of ContentLive, operated by ContentLive Labs. By accessing or using ContentLive, you agree to be bound by these Terms. If you do not agree, do not use the platform.

2Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use ContentLive. By using the platform, you confirm you meet these requirements.

3Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Ensuring content you upload or publish complies with applicable laws and platform policies

We reserve the right to suspend or terminate accounts that violate these Terms without prior notice.

4Acceptable Use

You agree to use ContentLive only for lawful purposes. You may NOT:

  • Upload content you do not have the right to use
  • Use the platform to impersonate real individuals without their consent
  • Generate or distribute deepfake content intended to deceive, defame, or harm others
  • Use the chatbot or any AI feature to generate illegal, abusive, or harmful content
  • Reverse engineer, scrape, or copy any part of the platform
  • Attempt to circumvent any security measures
  • Use the platform in violation of any third-party platform's terms (Meta, TikTok, LinkedIn, YouTube, X, etc.)

5AI-Generated Content

ContentLive uses AI to generate avatars, talking photos, cloned voices, and social content. You acknowledge:

  • AI outputs may not always be accurate, complete, or appropriate
  • You are solely responsible for reviewing and approving any content before publishing
  • We do not guarantee any specific reach, engagement, or commercial result from AI generation
  • You retain ownership of content you upload; you grant us a limited license to process it solely for delivering your requested output

6Voice Cloning — User Responsibility

By using the voice cloning feature, you explicitly confirm that:

  • You are the owner of the voice being cloned, OR you have obtained explicit written consent from the individual whose voice is being cloned
  • You will not use cloned voices to impersonate, deceive, defame, or harm any individual
  • You will not use cloned voices to generate fraudulent, illegal, or misleading content
  • ContentLive Labs bears zero liability for any unauthorized voice cloning or misuse of voice-generated content

Violation of this clause results in immediate account termination.

7Third-Party Integrations & API Dependencies

ContentLive operates using the following third-party APIs and services to deliver its core features:

AI & Content Generation

  • A2E API — avatar and talking-photo generation
  • ElevenLabs — voice cloning and speech synthesis
  • OpenAI — AI language model and script drafting functionality

Social Media Publishing

  • Meta (Facebook, Instagram)
  • TikTok
  • LinkedIn
  • YouTube (Google)
  • X (Twitter)

Infrastructure

  • Supabase / Google Cloud — authentication and database
  • AWS / Cloudinary — media storage
  • Square / Apple — payment processing

You acknowledge and agree that:

  • Access to all third-party platforms is governed by their own terms and conditions
  • ContentLive Labs is not responsible for any interruptions, API changes, rate limits, or discontinuations by any third-party provider
  • If a third-party platform revokes API access or changes its policies, certain ContentLive features may become unavailable without liability on our part
  • You are responsible for ensuring your use of connected social accounts complies with each platform's terms
  • Violation of any third-party platform's terms through your use of ContentLive is solely your responsibility

ContentLive Labs reserves the right to change, replace, or add any third-party API or service provider at any time. We will not be liable for any disruption caused by transitioning between providers.

8Payments and Refunds

  • All subscription fees are billed in advance
  • We offer a 14-day refund window from your initial purchase date upon written request to support@contentlive.com
  • No refunds are issued after the 14-day period
  • Purchases after the 14-day window are final and non-disputable
  • We reserve the right to modify pricing, plans, or features at any time
  • Continued use after a pricing change constitutes acceptance of the new pricing

"Lifetime" or "LTD" (Lifetime Deal) refers to the lifetime of the ContentLive product or application, not the lifetime of the user. ContentLive Labs reserves the right to discontinue, sunset, or materially change the platform at any time with reasonable prior notice.

9Subscription Auto-Renewal

Your ContentLive subscription automatically renews at the end of each billing cycle unless cancelled before the renewal date. By subscribing you authorize ContentLive Labs to charge your payment method on a recurring basis.

To cancel, go to: Settings → Manage Subscription before your next billing date. Cancellation stops future charges but does not issue a refund for the current billing period unless within the 14-day refund window.

10Intellectual Property

All platform content — including software, UI, logos, trademarks, and proprietary AI models — is owned by ContentLive Labs or its licensors. You may not:

  • Copy, reproduce, or distribute any part of the platform
  • Create derivative works based on ContentLive's technology or content
  • Use our branding without explicit written permission

11Disclaimer of Warranties

ContentLive is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy of AI outputs, or uninterrupted service.

12Limitation of Liability

To the maximum extent permitted by applicable law, ContentLive Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, or business — arising from your use of ContentLive.

Your sole remedy for dissatisfaction with the platform is to stop using it and, if within the refund window, request a refund.

13Indemnification

You agree to indemnify and hold ContentLive Labs, its officers, employees, and partners harmless from any claims, losses, damages, or expenses (including legal fees) arising from:

  • Your use of ContentLive
  • Content you upload, generate, or publish
  • Your violation of these Terms
  • Your violation of any third party's rights

14Arbitration & Class Action Waiver

PLEASE READ THIS CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising from your use of ContentLive or these Terms shall be resolved by binding individual arbitration, not in court. You waive any right to participate in a class action lawsuit or class-wide arbitration against ContentLive Labs.

Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) in Florida, United States. The arbitrator's decision is final and binding.

Exception: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for claims involving intellectual property or unauthorized access to the platform.

15Force Majeure

ContentLive Labs shall not be liable for any failure or delay in service caused by circumstances beyond our reasonable control, including but not limited to: third-party API outages (Meta, OpenAI, ElevenLabs, TikTok, etc.), internet disruptions, natural disasters, government actions, or any other event outside our direct control.

16Termination

We may suspend or terminate your access at any time for violation of these Terms, suspected fraud, or any conduct we determine to be harmful to the platform or other users. Upon termination, your right to use ContentLive ceases immediately.

17Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law provisions. Any disputes not resolved through arbitration shall be handled in the courts of Florida.

18Changes to These Terms

We may update these Terms at any time. The "Effective Date" will reflect changes. Your continued use of ContentLive after updates constitutes acceptance of the revised Terms.
